Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Kaizen Yutani Ltd., a company registered in Bulgaria, European Union, with its registered address at 3 Stratsin Street, Sofia 1407, Bulgaria ("E2EPilot," "we," "us," or "our").
By accessing or using the E2EPilot platform, including our website, CLI tools, MCP servers, APIs, and related services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
1. Description of Service
E2EPilot is an AI-powered end-to-end test automation platform. The Service uses artificial intelligence models to generate test automation code, analyze errors, and provide code suggestions for multiple testing frameworks (including Playwright, Cypress, WebDriverIO, Selenium, and SeleniumBase).
The Service consists of:
- A cloud backend that provides user authentication, subscription management, and AI model access
- Local tools (CLI, MCP servers, and an orchestration server) that run on your machine, interact with your local development environment, and may launch browsers, access your filesystem, and execute generated test code
You acknowledge that the local components of the Service operate within your computing environment and under your control. We are not responsible for the configuration, security, or integrity of your local development environment, test infrastructure, or any systems that the local tools interact with.
2. Eligibility and Account Registration
2.1 Eligibility
You must be at least 16 years of age to use the Service. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.
2.2 Account Creation
To use the Service, you must create an account by providing a valid email address and authenticating through our authentication provider. You agree to:
- Provide accurate and complete information
- Maintain the security of your account credentials
- Promptly notify us of any unauthorized access to your account
- Accept responsibility for all activities that occur under your account
We reserve the right to suspend or terminate accounts that we reasonably believe to be in violation of these Terms.
3. AI-Generated Content
3.1 Nature of AI Outputs
The Service uses artificial intelligence to generate test automation code and related outputs ("AI Outputs"). You acknowledge and agree that:
(a) AI Outputs are machine-generated suggestions, not verified solutions. AI models may produce inaccurate, incomplete, incorrect, or unsuitable results. AI Outputs may contain errors, bugs, security vulnerabilities, or code that does not function as intended.
(b) You are solely responsible for reviewing, evaluating, testing, and validating all AI Outputs before incorporating them into your projects, deploying them in any environment, or relying on them for any purpose.
(c) We do not guarantee the accuracy, correctness, completeness, reliability, security, or fitness for any particular purpose of any AI Output.
(d) Similar or identical AI Outputs may be generated for other users. AI models may produce the same or similar outputs in response to similar inputs from different users. AI Outputs are not exclusive to you.
(e) AI Outputs do not constitute professional advice. The Service does not provide software engineering, security, legal, or any other form of professional advice.
(f) Automated test execution carries inherent risk. The Service may generate and execute test code within your local environment as part of its workflow. When tests are executed automatically without prior manual review, you assume all risks associated with that execution, including potential unintended interactions with your systems, browsers, applications, or data. You are responsible for ensuring that your test environment is appropriately isolated from production systems.
3.2 No Training on Your Data
We do not use your inputs, code, prompts, or AI Outputs to train, fine-tune, or improve any artificial intelligence or machine learning models. Your data is processed transiently to deliver the Service and is not retained after the response is returned.
3.3 Third-Party AI Models
The Service accesses AI foundation models through third-party cloud infrastructure providers. These providers are contractually bound not to use your data for model training or share it with model developers. We do not control the underlying AI models and are not responsible for their inherent limitations.
4. User Responsibilities and Acceptable Use
4.1 Your Responsibilities
You agree to:
- Use the Service in compliance with all applicable laws and regulations
- Not submit any content that you do not have the right to process through the Service
- Review and validate all AI Outputs before use
- Not rely on AI Outputs as a sole source of truth for any decision
- Maintain appropriate backups of your own code and data
- Comply with any usage limits associated with your subscription plan
4.2 Prohibited Uses
You may not:
- Use the Service for any unlawful purpose or in violation of any applicable law
- Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying algorithms of the Service
- Use the Service to develop a competing product or service, or to train, develop, or improve any artificial intelligence or machine learning model
- Circumvent, disable, or interfere with any security or access control features of the Service
- Resell, sublicense, or redistribute access to the Service without our prior written consent
- Use the Service in any manner that could damage, disable, overburden, or impair our infrastructure
- Transmit any viruses, malware, or harmful code through the Service
- Use the Service for high-risk activities where failure could lead to death, personal injury, or significant environmental damage
- Attempt to access other users' accounts or data without authorization
- Use automated means (bots, scrapers) to access the Service beyond the intended API usage
4.3 Content Standards
You are solely responsible for all content you submit to the Service ("Your Content"), including its accuracy, legality, and compliance with third-party rights. You represent and warrant that you have all necessary rights and permissions to submit Your Content for processing through the Service.
4.4 Export Controls and Sanctions
You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to EU or US trade sanctions or embargoes, and that you are not on any EU, US, or UN sanctions list. You agree to comply with all applicable export control laws and trade sanctions regulations in connection with your use of the Service.
5. Intellectual Property
5.1 Our Intellectual Property
The Service, including its software, design, documentation, branding, and all related intellectual property, is and remains the exclusive property of Kaizen Yutani Ltd. and its licensors. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.
5.2 Your Content
You retain all intellectual property rights in Your Content. By using the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to process Your Content solely for the purpose of providing the Service to you. This license terminates when you delete Your Content or close your account.
5.3 AI Outputs
Subject to your compliance with these Terms, we assign to you all rights, title, and interest that we may hold in AI Outputs generated for you through the Service. You acknowledge that AI Outputs may not be protectable under intellectual property laws in all jurisdictions, and that similar outputs may be independently generated for other users.
5.4 Feedback
If you provide us with suggestions, ideas, or other feedback about the Service ("Feedback"), you grant us a non-exclusive, perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service without obligation or compensation to you.
6. Subscription, Payment, and Billing
6.1 Plans and Pricing
The Service is offered under various subscription plans, including free and paid tiers. Current pricing and plan details are available on our website. We reserve the right to modify pricing with at least 30 days' prior notice. Price changes will take effect at the start of your next billing cycle.
6.2 Payment Processing
Payment processing is handled by Stripe, Inc. ("Stripe"), a third-party payment processor. By subscribing to a paid plan, you agree to Stripe's terms of service. Your payment card information is transmitted directly to Stripe and is never stored on or processed by our servers.
6.3 Automatic Renewal
Paid subscriptions renew automatically at the end of each billing period (monthly or annual) unless cancelled before the renewal date. You authorize us to charge your payment method on file for each renewal period.
6.4 Cancellation
You may cancel your subscription at any time through your account settings. Upon cancellation:
- Your subscription will remain active until the end of the current billing period
- You will not be charged for subsequent billing periods
- No partial refunds will be issued for the remaining portion of the current billing period, except as required by applicable law
6.5 EU Right of Withdrawal
If you are a consumer in the European Union, you have the right to withdraw from a paid subscription within 14 days of purchase without giving a reason, in accordance with the EU Consumer Rights Directive (2011/83/EU).
To exercise your right of withdrawal, contact us at privacy@e2epilot.com with a clear statement of your decision. If you have used the Service during the withdrawal period, we may deduct a proportionate amount for the service already provided.
6.6 Payment Failure
If your payment method fails or your account becomes overdue, we may:
- Notify you and request updated payment information
- Suspend your access to paid features after 14 days of non-payment
- Downgrade your account to the free tier after 30 days of non-payment
6.7 Free Tier
If you use the Service on a free plan, you acknowledge that:
- Free plans are subject to usage limits as described on our website
- We may modify, limit, or discontinue the free tier at any time without prior notice
- Free plans are provided without any warranty, service level commitment, or indemnification obligation
- We reserve the right to require a paid subscription for continued access to any feature
6.8 Taxes
All fees are exclusive of applicable taxes. You are responsible for all taxes, duties, and levies imposed on your subscription, excluding taxes based on our net income.
7. Warranty Disclaimer
7.1 "As Is" Provision
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL AI OUTPUTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
7.2 Specific Disclaimers
We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Without limiting the foregoing, we make no warranty that:
- The Service will meet your requirements or expectations
- The Service will be uninterrupted, timely, secure, or error-free
- AI Outputs will be accurate, reliable, complete, correct, or suitable for any purpose
- Any errors or defects in the Service will be corrected
- The Service will be compatible with any specific software or hardware
7.3 EU Consumer Protections
Nothing in this Section 7 affects your statutory rights as a consumer under applicable EU law, including the EU Digital Content Directive (2019/770).
8. Limitation of Liability
8.1 Exclusion of Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR: loss of profits, revenue, business opportunities, or goodwill; loss of or damage to data; business interruption; cost of procurement of substitute services; system or test failures caused by AI-generated code; security incidents arising from AI-generated code.
8.2 Cap on Liability
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (a) the total amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) one hundred euros (€100).
8.3 Exceptions
Nothing in these Terms shall exclude or limit either party's liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) intentional misconduct or gross negligence; (d) any liability that cannot be excluded or limited under applicable law; (e) your obligation to pay fees due under these Terms.
9. Indemnification
You agree to defend, indemnify, and hold harmless Kaizen Yutani Ltd. and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) Your Content or any data you submit to the Service; (c) your violation of any applicable law or third-party rights; (d) your use of AI Outputs.
If you are a consumer in the European Union, this indemnification obligation applies only to the extent permitted by applicable consumer protection laws in your jurisdiction.
10. Term and Termination
10.1 Term
These Terms are effective from the date you first access or use the Service and remain in effect until terminated by either party.
10.2 Termination by You
You may terminate these Terms at any time by closing your account and ceasing all use of the Service.
10.3 Termination by Us
We may suspend or terminate your access to the Service: (a) if you materially breach these Terms and fail to cure such breach within 30 days of written notice; (b) immediately, if required to comply with applicable law; (c) immediately, if your use poses a security risk; (d) with 30 days' prior notice, for any reason.
10.4 Effect of Termination
Upon termination: your right to access the Service ceases immediately; we will delete your account data within 30 days, except where retention is required by law; all provisions that by their nature should survive termination shall survive.
11. Governing Law and Dispute Resolution
11.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Bulgaria, without regard to its conflict of law provisions.
11.2 Jurisdiction
Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts of Sofia, Bulgaria.
11.3 EU Consumer Rights
If you are a consumer resident in the European Union, nothing in this section deprives you of the protection afforded by mandatory provisions of the law of your country of residence.
11.4 Online Dispute Resolution
In accordance with Regulation (EU) No 524/2013, EU consumers may submit complaints through the European Commission's Online Dispute Resolution (ODR) platform. Our email for ODR purposes is: privacy@e2epilot.com.
12. Service Availability and Modifications
We aim to provide reliable access to the Service but do not guarantee uninterrupted or error-free operation. We reserve the right to modify, update, or discontinue any feature at any time. If we make material changes that negatively impact your use, we will provide at least 30 days' prior notice.
13. Beta Features
We may offer experimental or beta features ("Beta Features") that are not yet generally available. Beta Features are provided "as is" without any warranty or liability, and we may discontinue them at any time without notice.
14. Third-Party Services and Open-Source Software
The Service may integrate with or link to third-party services. We are not responsible for their availability, accuracy, or content. The Service generates code for third-party testing frameworks; we are not responsible for bugs, breaking changes, or compatibility issues in those frameworks. The Service incorporates open-source software components subject to their own license terms.
15. General Provisions
Entire Agreement. These Terms, together with our Privacy Policy and any applicable subscription terms, constitute the entire agreement between you and us regarding the Service.
Severability. If any provision is found invalid or unenforceable, the remaining provisions remain in full force.
No Waiver. Our failure to enforce any right shall not constitute a waiver.
Assignment. You may not assign these Terms without our consent. We may assign without restriction.
Force Majeure. Neither party shall be liable for failure due to circumstances beyond reasonable control.
Notices. We may provide notices via your account email. You may contact us at privacy@e2epilot.com.
16. EU AI Act Transparency
In accordance with the EU Artificial Intelligence Act (Regulation 2024/1689), we disclose that: the Service uses artificial intelligence systems to generate test automation code; all AI Outputs should be independently verified; users are informed when content is AI-generated; the AI systems are not classified as high-risk under Annex III.
